8.1 After a customer agrees to use Trinity-related Services, but before Natepro delivers the product, software, or service, changes may occur. The delivered product, software, or service may differ slightly from what was originally ordered. However, all essential functions and performance will be equivalent to or better than those of the original items.

8.2 As part of Natepro’s ongoing product and service update policy, we reserve the right to modify and/or discontinue any product, software, or service at any time without prior notice. Unless otherwise specified, any modified or updated product, software, or service will generally retain the core functions and performance of the originally ordered version. The customer acknowledges that such updates may result in discrepancies between the delivered and ordered specifications. In some cases—such as discontinued products/services, unavailable components, or pricing errors—Natepro may confirm an order but later find itself unable to fulfill it in whole or in part. In such cases, we will notify the customer and suggest possible alternatives. If no substitute is accepted, the relevant portion of the order will be canceled and any associated payment refunded.

8.3 For purchased services that include maintenance of Natepro’s Trinity-branded products, such services refer to the repair of defects in materials or construction of the covered product. Preventive maintenance is excluded. Natepro is not responsible for repairing issues caused by software problems or third-party products provided by the customer. Unless explicitly stated in the service documentation, repairs do not cover damages caused by: (1) any party other than Natepro or its authorized agents; (2) accidents, misuse, or improper use (e.g., abnormal system behavior due to invalid commands, use of incompatible software or hardware, alteration of database content or configuration files, or failure to follow instructions); (3) relocation of the product between physical or geographic locations; or (4) natural disasters, including but not limited to lightning, floods, tornadoes, earthquakes, or hurricanes. Replacement or repair parts may be new, like-new, or refurbished.

8.4 All use of Natepro’s products and services that involves the collection, use, disclosure, storage, or processing of personal or sensitive business data must comply with all applicable data protection laws. For services requiring integration with third-party software or authentication, the customer is solely responsible for registering the necessary accounts, tokens, keys, passwords, and other credentials. Natepro is not liable for any claims arising from such use or access.
IX. Prohibited Uses by the Customer
9.1 Software shall be governed by the terms and conditions of the software license agreement accompanying the software media, any product guides, user manuals, or other documentation provided during installation or use of the software, as well as all applicable terms in the order documentation.

9.2 If no separate license terms apply, then the software shall be governed by the terms of this Agreement. Natepro grants the customer a non-exclusive, non-transferable, royalty-free license to use the software it provides. All intellectual property rights, ownership, and interests in and to the software shall remain with Natepro or the applicable licensors. Any software provided or made accessible to the customer under this Agreement is licensed solely for the term of the service and solely for the purpose of enabling the customer to benefit from the service.

9.3 Software provided by Natepro in relation to the services is subject to the following terms:

9.3.1 The customer shall not:
(1) copy (except for backup purposes), modify, adapt, or create derivative works, compilations, or collective works from the software; nor reverse engineer, decompile, disassemble, or otherwise attempt to derive source code from the software or any part thereof;
(2) license, sell, transfer, sublicense, assign, pledge, or otherwise convey the software to any third party;
(3) use the software in a managed service arrangement; or
(4) exceed the number of concurrent online users, sites, or other licensed units as defined in the applicable service documentation.
Additionally, the customer shall not access the software for the purposes of monitoring availability, performance, or functionality, or for any benchmarking or competitive purposes.

9.3.2 The customer shall not:
(1) attempt to access or use Natepro’s or any third party’s networks or systems without authorization;
(2) attempt to probe, scan, or test the vulnerability of Natepro’s or any of its customers’ or suppliers’ software, systems, accounts, or networks;
(3) interfere with or attempt to interfere with service to any user, host, or network;
(4) send unsolicited bulk messages or commercial communications;
(5) limit, inhibit, or otherwise interfere with any other party’s use or enjoyment of the software (except via tools with security enforcement features); or
(6) impair, degrade, or disrupt the performance of services provided by Natepro or its suppliers.

9.3.3 The customer authorizes Natepro or its designated agent to audit software usage during regular business hours. The customer agrees to cooperate and provide reasonable assistance and access to records as necessary to verify compliance with the terms of this Agreement and any relevant software license.

9.4 Portions of the software may include open-source components, which are subject to the terms and conditions of the applicable open-source licenses.

9.5 Subject to the terms of service, any open-source software used by Natepro in the execution of this Agreement is provided “as-is,” without any express, implied, or statutory warranties, including but not limited to any implied warranties of merchantability, fitness for a particular purpose, non-infringement, or title. To the extent permitted by law, neither Natepro, the copyright holders, nor contributors to such open-source software shall be liable for any direct, indirect, incidental, special, punitive, or consequential damages (including but not limited to procurement of substitute goods or services; loss of use, data, or profits; or business interruption) arising in any way out of the use of such software, whether in contract, strict liability, or tort (including negligence), even if advised of the possibility of such damages.

9.6 If the customer’s use of the services involves the collection, use, disclosure, storage, or processing of personal data, all relevant data protection laws shall be strictly followed. Natepro shall not be liable for any claims arising from such data processing.
In this Agreement, “personal data” refers to any information that identifies an individual and is protected under privacy or data protection laws in:
(a) the jurisdiction where the individual is located; or
(b) the jurisdiction where the data processing occurs.
